This role will provide essential support to the MGS Cayman business, in relation to commercial and
legal matters.
The role will support the development of policies and procedures and internal controls relating to
our service offering, informed by legal and regulatory requirements.
Our in-house legal and governance function provides first class legal advice and governancesupport to the 25+ companies in the MourantGS group and the directors and senior managementof those companies. The workload is diverse and covers all our locations.

Your duties and responsibilities to include:
Your role will be split across two key areas.
As Associate Director, you will work closely with senior management on day-to-day commercialmatters pertaining to the operations of the MGS Cayman business including, but not limited to:

Assisting management and the global operations team in the development of policies and
procedures and enhancing the internal controls framework.
•
Horizon scanning to ensure the business is kept abreast of legal, regulatory and
commercial developments relevant to its operations, best practice and the delivery of client
solutions.
•
Supporting colleagues and risk & compliance in their dealings with our regulators and
stakeholders, ensuring adherence to internal policies and a gold standard approach to good
governance.
•
Acting as a liaison between the MGS Cayman business and its affiliated law firm to ensure
effective communication and knowledge sharing between the two business to safeguard
against risk and to bolster the client service proposition.
As a Senior Legal Counsel, you will have a key role in supporting the ongoing development of astrong compliance culture. You will embed and maintain best practice in legal, reputational andoperational risk management in MourantGS. It is anticipated that you will spend approximately50% of your time working on matters as Senior Legal Counsel. MourantGS Legal may request yoursupport on the areas set out below. It is envisaged that such support will be limited to Cayman lawmatters to begin with but may expand to Global matters in time with your agreement:
•
Draft, review and negotiate contracts including engagement letters, NDAs and other third party
contracts.
•
Proactively and continually maintain our existing global terms of business, supplementary product terms, jurisdiction terms and data processing terms.
•
Draft and maintain various intra-group agreements including outsourcing agreements, management charge letters and service agreements. Co-ordinate stakeholder input for all such agreements. Analyse any gaps in intra-group arrangements and draft the form of contract needed to fill such gaps.
•
Identify, analyse and propose mitigation for legal, reputational and operational risks arising from MourantGS client mandates.
•
Advise on a wide range of data protection issues.
•
Advise on sanctions issues.
•
Advise on conflicts of interest and related mitigation measures.
•
Advise on employment law queries including compliance with restrictive covenants for joiners/leavers.
•
Assist client facing teams with responses to client queries in areas such as modern slavery and insurance.
•
Advise on obligations arising under applicable codes of practice and other codes and guidance notes published by regulators.
•
Advise on how to exit client mandates safely from a legal perspective including following statutory processes where required.
•
Assist with a project to automate our engagement letters across all locations to ensure global consistency and best practice.
•
Assist with a project to review and update corporate, fund and trust precedents used by client facing teams in all our locations.
•
Assist on responses from MourantGS entities to complex regulatory enquiries or information requests.
•
Advise on legal aspects of specific projects affecting MourantGS including new products, entries into new jurisdictions, office moves, acquisitions and disposals.
•
Prepare structure/board papers summarising the legal and regulatory impact of the projects mentioned in the bullet above and co-ordinate input from all relevant stakeholders (eg Finance, Operations, R&C, Governance).
•
Advise on automatic exchange of information laws and regulations including FATCA, CRS, DAC6 and MDR.
•
Advise on AML issues including eligible introducer letters and the legal aspects of ABC, SOW/SOF and other CDD related issues.
•
Advise on the legal and regulatory issues regarding overseas working.
•
Update colleagues on relevant changes in law and regulation and deliver training and presentations where necessary.
•
Manage requests to external counsel for legal advice on issues affecting the MourantGS business.
•
Assist client facing teams in maintaining confidentiality and legal privilege where appropriate.
•
Assist client facing teams with ad hoc legal queries on company law, trust law, contractual and other matters.
•
Provide legal input on policies, procedures and guidance notes.
This is a wide-ranging role. Training will be provided as required.

•
Advanced MS Office skills particularly Outlook, Word and Excel.
Knowledge of platforms like Contract Express is beneficial.
